PLEASE READ THIS POLICY CAREFULLY BEFORE USING THE THOTFY PLATFORM
This Seller–Partner Agreement (“Agreement”) is entered into between Thotfy Private Limited (“Thotfy”, “we”, “our”, or “us”), a company incorporated under the laws of India, and you, the seller-partner (“Partner”, “you”, or “your”), who wishes to list, sell, and deliver products on the Thotfy marketplace platform (“Platform”).
By registering as a Seller–Partner on Thotfy, you acknowledge and agree to the following terms and conditions:
1.1 Thotfy is a community-driven marketplace designed to empower artisans, creators, and entrepreneurs.
1.2 As a Partner, you are an independent business owner collaborating with Thotfy to make handcrafted and original products accessible to customers across India.
1.3 This partnership is built on trust, transparency, and shared growth.
2.1 You must provide accurate business, tax, banking, and contact details.
2.2 Thotfy may verify details and reserves the right to reject or suspend partnerships based on incomplete, false, or misleading information.
2.3 You remain an independent business entity, and nothing in this Agreement creates an employment, franchise, or agency relationship.
3.1 You may list only products that are:
Handcrafted, handmade, or otherwise aligned with Thotfy’s mission.
Lawful and not prohibited under Indian law or Thotfy’s policies.
3.2 Product listings must:
Be accurate and authentic (title, description, images, and pricing).
Show full pricing, inclusive of applicable taxes.
Not infringe intellectual property rights.
3.3 Thotfy may moderate, delist, or block any listing that violates policies or compromises customer trust.
4.1 Order Acceptance – Once a customer places an order, you are obliged to fulfill it within agreed timelines.
4.2 Packaging – Products must be securely packed, with eco-friendly packaging encouraged.
4.3 Dispatch & Logistics –
If using Thotfy’s logistics network, you agree to adhere to partner courier terms.
If self-shipping, you assume full responsibility for safe and timely delivery.
4.4 Delivery Failures – Multiple delivery failures or delays may impact your Partner standing on the Platform.
5.1 You agree to comply with Thotfy’s Returns & Refunds Policy.
5.2 If a product is defective, damaged, incorrect, or not as described, you agree to accept returns or issue replacements/refunds.
5.3 Return shipping responsibilities will be determined as per prevailing policy (generally borne by the Partner in case of fault).
6.1 Thotfy collects payments from customers and settles them with you after deducting:
Platform service fees/commission,
Shipping/logistics charges,
Applicable taxes and penalties (if any).
6.2 Settlements are made to your registered bank account on a periodic cycle (typically 7–15 business days after confirmed delivery).
6.3 You are responsible for your tax compliance (GST and others, as applicable).
7.1 You agree to:
Maintain authenticity, quality, and legality of your products.
Dispatch orders on time and keep inventory updated.
Treat customers fairly and build trust through your products.
7.2 You shall not:
List counterfeit, unsafe, or prohibited items.
Engage in fraudulent practices (fake orders, misleading descriptions, review manipulation).
Circumvent the Platform by soliciting direct off-platform sales.
8.1 You retain ownership of your product content but grant Thotfy a non-exclusive right to use images, descriptions, and brand elements for platform promotion and marketing.
8.2 You represent that your listings do not infringe third-party rights.
9.1 As an independent Partner, you are solely responsible for the safety, authenticity, and compliance of your products.
9.2 You agree to indemnify Thotfy and its affiliates from any losses or claims arising from your:
Products sold,
Breach of Agreement, or
Violation of applicable law.
10.1 This Agreement remains valid as long as you continue to list and sell on Thotfy.
10.2 Thotfy may suspend or terminate your Partner account in case of:
Breach of this Agreement,
Misuse of the Platform, or
Repeated service failures.
10.3 You may exit the partnership at any time with written notice, subject to fulfilling pending orders and settlements.
11. Disputes shall first be resolved amicably through dialogue between Thotfy and the Partner.
12.1 Thotfy views every Partner as part of its community. We encourage collaboration, feedback, and joint initiatives to grow handcrafted businesses.
12.2 Thotfy may provide tools, training, and promotional opportunities to help you succeed.
